Terms of use

These terms govern your use of the Ionworks marketing site at ionworks.com, the Ionworks app at app.ionworks.com, and the documentation site at docs.ionworks.com(collectively, the “Service”). By accessing or using the Service, you agree to these terms. If you do not agree, do not use the Service.

The Service is operated by Ionworks Technologies Inc., a Delaware corporation, with offices at 5831 Forward Ave, Pittsburgh, PA 15217 (“Ionworks,” “we,” “us”).

Paid use of the Service is governed by a Master Subscription and Services Agreement (“MSA”) and one or more Order Forms executed between Ionworks and the customer. The MSA controls in the event of any conflict with these Terms of Use for paid customers.

Our standard MSA template is available for review: Master Subscription and Services Agreement (PDF). The published template is a starting point and specific terms are agreed in the executed MSA and Order Form.

Where required (for example, under the GDPR), Ionworks will enter into a Data Processing Addendum (“DPA”) with the customer as part of the MSA. For questions or to request a DPA, email legal@ionworks.com.

Eligibility and accounts

The Service is intended for use by businesses and the individuals representing them. You must be at least 18 years old to create an account. You are responsible for keeping your account credentials secure and for activity that occurs under your account. Notify us promptly at support@ionworks.com if you suspect unauthorized use.

Acceptable use

You agree not to:

  • Copy, modify, translate, or create derivative works of the Service.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of the Service, except to the limited extent applicable law expressly prohibits this restriction.
  • Resell, rent, lease, sublicense, or otherwise make the Service available to any third party except as expressly permitted in a written agreement with us.
  • Use the Service to infringe, misappropriate, or violate the intellectual property, privacy, or other rights of any party, or to violate any applicable law.
  • Use the Service for benchmarking or competitive analysis with respect to competitive or related products, or to develop, license, or sell any product or service that competes with the Service.
  • Probe, scan, or test the vulnerability of the Service, breach its security or authentication measures, or interfere with or disrupt its operation (denial-of-service attempts, malware injection, abusive load).
  • Upload content you do not have the right to upload, or content that is unlawful, harmful, or infringes the rights of others.

Your content and data

You retain ownership of all content and data you upload to the Service (“Customer Content”). You grant Ionworks a non-exclusive, worldwide license to host, process, and use Customer Content solely to operate and provide the Service to you. We may also use aggregated, de-identified data derived from Customer Content (from which no individual customer’s data can be identified) to improve the Service, such as benchmarking model accuracy.

You represent that you have the rights necessary to grant this license and that Customer Content does not infringe the rights of any third party.

AI-assisted features

Some app features use third-party large language model providers (such as OpenAI or Anthropic) to generate suggestions, summaries, or other outputs from inputs you submit. The set of providers we use may change over time; current providers are listed in our Privacy Policy.

AI outputs may be inaccurate or incomplete. You are responsible for reviewing and validating any AI-generated output before relying on it for engineering, business, or scientific decisions.

Intellectual property

The Service, including all software, design, documentation, models, methodologies, and trademarks, is owned by Ionworks or its licensors and is protected by intellectual property laws. These Terms grant you a limited right to use the Service; they do not transfer any ownership.

Open-source components used in the Service are licensed under their respective open-source licenses. PyBaMM is released under the BSD-3-Clause license and is not subject to these Terms.

Feedback

If you send us feedback or suggestions about the Service, we may use them without restriction or obligation to you.

Third-party services and links

The Service may include links to or integrations with third-party services (for example, Calendly for demo scheduling, Stripe for payments). We do not control those services and are not responsible for their content or practices. Their terms and privacy policies govern your use of them.

Security

Ionworks maintains a SOC 2 Type 1 attestation. Our security controls, attestation reports, and sub-processor list are available at our trust center: security.ionworks.com.

Disclaimer of warranties

EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN AGREEMENT WITH IONWORKS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” IONWORKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR FREEDOM FROM ERROR. IONWORKS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT SIMULATION RESULTS WILL BE COMPLETE OR SUITABLE FOR ANY PARTICULAR PURPOSE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IONWORKS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

FOR USE OF THE SERVICE WITHOUT A PAID SUBSCRIPTION, IONWORKS’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). FOR PAID SUBSCRIPTIONS, LIABILITY IS GOVERNED BY THE APPLICABLE MSA.

Indemnification

You will defend, indemnify, and hold Ionworks harmless from and against any third-party claims, damages, and expenses (including reasonable attorneys’ fees) arising out of (i) your Customer Content, (ii) your use of the Service in violation of these Terms or applicable law, or (iii) your violation of any third-party right.

Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or that your use creates a security or legal risk. You may stop using the Service at any time.

Upon termination, you may request a copy of your Customer Content for up to 30 days. After that period, we will delete your Customer Content from our production systems. Backups may persist for an additional period required for disaster recovery, after which they are overwritten. For paid customers, data retrieval and deletion terms in the MSA take precedence.

Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and governing law.

Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent change. For material changes affecting paid subscribers, we will provide additional notice (for example, by email or in-app banner). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Each party waives any objection based on inconvenient forum or lack of personal jurisdiction.

General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. These Terms, together with the Privacy Policy and (for paid customers) the MSA, are the entire agreement between you and Ionworks regarding the Service.
